
Member Bylaws

Article III Membership and Classification
Section 1. Membership: Any persons, firms, corporations, or other entities interested in supporting the aims and objectives of WATD may, upon completion of an application, Board of Directors approval, and payment of dues for the class of membership for which they are applying be admitted to membership in WATD providing that they agree to uphold the Bylaws and the Membership Standards of WATD.
Section 2. Membership Classes, Dues, and Benefits: The Board shall, from time to time, establish the various classes of memberships and the dues, fees, terms, and charges relative thereto, and shall determine and establish the benefits and responsibilities relating to each category of membership.
Section 3. Delinquent Dues: A. Dues are assessed by calendar year, are payable by January 1, and unpaid dues shall be declared delinquent February 15. B. Members who have not paid their dues by February 15 of the current year shall be deemed in arrears and shall not vote or receive further publications until such dues are paid, except for any regular publications due by virtue of timely payment of the previous year's dues.
Section 4.
Specification in Membership Standards: The description of
membership classes, fees, dues, benefits and responsibilities
thereof shall be stated in the Membership Standards.
Article IV Admission to Membership and Resignation
Section 1.
Admission to Membership: Prospective members shall be considered
for membership under the following procedure: A. An application
for membership shall be submitted to the Membership Committee B.
Each proposal for membership shall be considered by the
Membership Committee and each applicant shall be evaluated as to
their ability to adhere to the Standards of Membership, Bylaws of
the Corporation, and to support WATD goals and aims. C. Each
proposal for membership with recommendations from the Membership
Committee shall be referred to the Board of Directors. D. Any
application for membership may be rejected by the Board of
Directors where it shall appear to such Board of Directors, after
such investigation by them as they deem necessary, that the
person or corporation applying for membership has violated the
Bylaws of the Corporation, or if the acceptance of such
membership would be, in their judgment, detrimental to the best
interests of the Corporation. The decision of the Board of
Directors in each such case shall be final. E. At a meeting of
the Board of Directors at which a quorum is present, members
shall be approved by a two-thirds (2/3) vote of those present. F.
Upon favorable action by the Board of Directors, the new member
shall be personally notified by the Secretary concerning the
action of the Board and the membership dues shall then be
secured.
Section 2.
Resignation: Any member may resign from WATD provided that all
his/her indebtedness to WATD has been paid. The resignation shall
be submitted in writing to the Board of Directors and shall
become effective when accepted by a majority vote of the Board.
Article V Discipline
Section 1.
Arrearages of Dues: Any member being two (2) months in arrears in
the payment of dues and/or financial obligations shall, at the
direction of two-thirds (2/3) vote of the entire Board of
Directors, stand suspended and shall be so notified forthwith in
writing by the Secretary. Such member, upon payment of arrears
and upon making application for reinstatement to the Board of
Directors, may, by two-thirds (2/3) vote of the entire Board of
Directors be reinstated within thirty (30) days. In case such
member is not so reinstated within thirty (30) days, he/she shall
be dropped from the membership and shall be notified in writing (either
by the
Section 2. Review Of Members:
The Board of Directors shall review annually, or as deemed necessary, the membership of WATD based on the following criteria: member participation in the committee(s) of the members choice and adherence to the Membership Standards and Bylaws of this Corporation. A. The Board of Directors will measure the personal involvement and adherence to Membership Standards and Bylaws of this Corporation of each member. At the discretion of the Board of Directors, any member who, without excuse, shall fail to actively participate in the committee(s) of their choice, and/or shall fail to adhere to the Membership Standards and/or bylaws of this Corporation shall, at the direction of a majority vote of the Board of Directors (quorum required) stand suspended and shall be so notified in writing by the Secretary. B. Such member, upon making application for a reinstatement to the Board of Directors, may, by a majority vote of the Board of Directors (quorum required) be reinstated within thirty (30) days. In case such member shall not be reinstated within thirty (30) days, he/she shall be automatically dropped from the membership. If such member is dropped from membership he/she shall apply as a new member to the Membership Committee.
Section 3. Conduct:
Any member charged with conduct unbecoming of WATD and against whom such charges are sustained, after due and proper hearing before the Board of Directors, may be expelled from membership by a two-thirds (2/3) vote of the entire Board of Directors. All complaints shall be referred to a special committee appointed for the purpose of making an investigation, report and recommendation before any action is taken on such charges by the Board of Directors.
Section 4. Termination of rights:
Any person whose membership in WATD has been terminated in any manner shall forfeit all interest in any funds or other property belonging to WATD and all right to the use of the WATD name, emblem or other insignia.
